ENTRY MULTIPLIER OFFERS: Throughout the Promotion Period, the Sponsor may (but is not required to) offer opportunities to increase the number of online purchase entries you may earn by a multiplier, e.g., (2X), (5X), (10X) and (20X) (each an “Entry Multiplier”). When an Entry Multiplier is offered, entries will be multiplied by the applicable Entry Multiplier. For example, a $60 purchase during a 10X Entry Multiplier offer will earn 600 entries. Timing for an Entry Multiplier offer will be determined solely by the Sponsor and will be announced by the Sponsor on their Website (at www.hexclad.com) and/or its social media pages.

Mail-in entries that are not in the format specified above, that are illegible, inaccurate, incomplete, or reproduced via photocopier or otherwise will be considered null and void. Not responsible for lost, late, illegible, mutilated, misdirected, postage-due entries or entries not received by the deadline. All material submitted becomes property of Sponsor and will not be returned. No correspondence will be acknowledged or entered into; requests for confirmation of receipt of mail-in entries will not be acknowledged.
To receive additional entries during an Entry Multiplier offer without making a purchase, follow the instructions for mail-in entries in #3B above, and hand write the words “ENTRY MULTIPLIER” and the Entry Multiplier (e.g., 10X Entry Multiplier) being offered on the bottom left-hand corner of your mail-in envelope. Your mail-in entry must have a postmark that corresponds to the date an Entry Multiplier is offered and received within 5 days of the offer’s deadline. If an Entry Multiplier offer ends on a Sunday or federal holiday, the Multiplier mail-in entry must be postmarked on the following business day and received within 5 days of the offer deadline. Each mail-in entry received that complies with all the above requirements will receive the applicable number of entries for the respective multiplier that is offered. For example, an eligible Mail-In Entry received during a 10X Entry Multiplier offer will earn 250 entries (25x10=250) per mailing envelope, etc.

Estimated total value $100,000usd. Plus $25,000usd cash (to be fulfilled in the form of a check in the name of the winner). Total value of the prize is $125,000usd. The actual value of the Prize may vary depending on a number of factors, including point of departure, fluctuations of room rates, airfares, meals and activities.
Prize consists of only the item(s) specifically listed as part of the prize and may be modified/canceled at any time by Sponsor. If a part of the prize is canceled, the winner will not be compensated.
Additional disclosures for the Prize: Winner will be solely responsible for any federal, state, and local taxes and all fees and expenses related to acceptance of prize not specified as paid by Sponsor herein. The value of the prize is taxable as income and if the winner is a US/DC resident they will receive an IRS form 1099; for the total value of the prize as stated herein. In the event the winner is unable to redeem the prize, or is found to be ineligible for any reason, the winner will be disqualified, and an alternate winner may be selected. Sponsor reserves the right to provide a prize of equal or greater value (where lawful), at its sole discretion. Prize cannot be substituted, assigned, transferred or redeemed for cash; however, Sponsor reserves the right to make equivalent prize substitutions at Sponsor’s discretion. Sponsor is not responsible for any delay or cancellation of the prize delivery due to unforeseen circumstances or those outside of Sponsor’s control. If for reasons out of Sponsor’s control, and the prize cannot be fulfilled, no additional compensation will be provided or, if a substitute prize is provided, the difference in value between the substitute prize and the advertised prize will not be provided in cash. Only the number of prizes stated in these Official Rules is available to be won. If, by reason of a print, technical, or other error, more prizes are claimed than the number set forth in these Official Rules, prize winner(s) will be selected in accordance with the winner selection method described above from among all eligible claimants making purportedly valid claims to award the advertised number of prizes available.

No substitutions, cash equivalents, or transfer of prize permitted except at the sole discretion of the Sponsor, who reserves the right to substitute a prize (or portion thereof) with one of comparable or greater value, except as otherwise provided herein. Prizes may not be sold, bartered or exchanged by Winner. Sponsor makes no warranties, and hereby disclaims any and all warranties, expressed or implied, concerning any part of the prize furnished by third parties in connection with the Sweepstakes. At Sponsor’s sole discretion, Prize may vary to what has been advertised, pictured, etc. All details of the prize not specified herein shall be determined solely by Sponsor.
Trip components are subject to change without notice. Travel and lodging are subject to availability, certain restrictions, blackout dates and Sponsors’ approval apply. A presentation of a credit card by a Grand Prize winner, may be required at the time of check-in at the hotel. Any hotel cancellations or changes to hotel reservations after confirmation must be made with the hotel directly, and the Grand Prize winners are solely responsible for any charges and/or fees arising from changes made directly with the hotel. All expenses and incidentals not specifically mentioned herein, are not included as part of any Grand Prize package, and are solely the Grand Prize Winner’s responsibility, including, but not limited to: (Winner’s home/airport/Winner’s home) ground transportation, travel insurance, room service, bag check fees, parking fees, laundry service, food, beverages, merchandise, souvenirs, telephone calls, internet access fees, tips, gratuities, taxes, and service charges as well as all other personal expenses. The winners are solely responsible for the use of their prize and the prize of their guest. Sponsors reserve the right to remove or to deny entry of any Grand Prize winner and/or Grand Prize winner's guest who engages in a disorderly or disruptive manner (as determined by Sponsors in their sole discretion), or with intent to annoy, abuse, threaten or harass any other person at any event while on trip. Further, if any such actions occur, Sponsors reserve the right to terminate the trip early for the Grand Prize winner and/or guest and send the Grand Prize Winner and/or his or her guest home with no further compensation. The Grand Prize will be forfeited if: (1) Grand Prize winner is not available to travel on the dates specified by Sponsors or (2) proper travel documents (e.g. passport, etc.) are not obtained by the Grand Prize winner by the date specified by Sponsors. Guest traveling with the Grand Prize winner must be at the time of Grand Prize fulfillment, the age of majority in his/her state of residence or at least twenty one (21) years of age, whichever is greater, (and must sign and return a travel release to administrator prior to travel), in which case the parent or legal guardian of such minor travel guest must sign and return a release on their behalf. Grand Prize Winner and Grand Prize Winner’s guest is solely responsible for obtaining any travel insurance (and all other forms of insurance) that they wish to obtain at their own expense and hereby acknowledge that Sponsors have not and will not obtain or provide travel insurance or any other form of insurance. If the Grand Prize winner lives within 100 miles of the destination city, ground transportation will be provided in lieu of air transportation and lodging and no additional compensation will be provided. The Grand Prize winner is bound by the terms and conditions of all airlines, hotels and other third-party service providers used in connection with the Grand Prize. Sponsors are not responsible if tickets or other booking or travel information are lost, stolen, or misplaced or if any booked transportation is missed for any reason by the Grand Prize Winner or their guest and none will be replaced. All other expenses not stated herein as part of the Grand Prize are the Grand Prize Winner’s sole responsibility. Exact dates and locations are subject to change and are at the sole discretion of Sponsors.
The Grand Prize Winners and his or her guests must travel together on the same itinerary and possess all required travel documents (e.g., valid photo identification, valid passport, etc.). Airline tickets are non-refundable/non-transferable and are not valid for upgrades and/or frequent flyer miles. The Grand Prize Winners will not receive cash or any other form of compensation if actual travel costs are less than the estimate made in these Official Rules.
Sponsors shall not be responsible for any cancellations, delays, diversions or substitutions or any act or omissions whatsoever by the air carriers, hotels or other transportation companies or any other persons providing any of these services and accommodations necessitated by the same. No refund or compensation will be made in the event of the cancellation or delay of any flight except at the sole discretion of the Sponsors.
In the event that any part of the trip or any of the events associated with the trip are unable to take place as planned for reasons including, but not limited to, scheduling conflicts, cancellations, postponements, delays, an event of force majeure (any acts of God, natural catastrophes, public enemies, war, acts of terrorism, civil commotion, riot, strikes or labor difficulties, lockout, judicial or government order, or other requirement of law, an unforeseeable health event (e.g. pandemic or epidemic) or national emergencies or any other cause beyond Sponsor’s reasonable control), or for any other reason whatsoever, then the remaining components of the prize constitute full satisfaction of Sponsor’s prize obligation to the Grand Prize winner, and no other additional compensation will be awarded.
Winners are responsible for any and all applicable fees, federal, state and local taxes, if any, and any other unspecified expenses associated with acceptance or use of the prize. Winners are advised to seek independent counsel regarding the tax implications of accepting a prize. Sponsor and/or administrator will not enter into any correspondence, including, email, with non-winning entrants.
Prizes are non-assignable, non-substitutable and non-transferable without the prior written consent of the Sponsors, whose consent may be withheld for any reason and in the Sponsor’s sole and absolute discretion. Sponsors reserve the right to substitute a prize of equal or greater value if an advertised prize becomes unavailable. All details of any prize not specified herein shall be determined solely by the Sponsors. The Official Rules prevail should there be any conflict or uncertainty relating to the Sweepstakes based on information or advice provided by any of the Released Parties.
PRIZE CLAIM CONDITIONS Entrant selected as a potential winner (“Potential Winner”) are subject to verification of eligibility and compliance with these Official Sweepstakes Rules. Potential Winner will be notified by the Promotion Administrator (or its authorized agent) within approximately forty-eight (48) hours of the Draw Date at the email account provided during the purchase process or via the mail-in entry.

The Promotion Administrator will attempt to notify the Potential Winner a maximum of two times. If the Potential Winner does not respond within three (3) calendar days of first attempt by the Promotion Administrator or its agent, the Promotion Administrator will make a second and final attempt to notify the Potential Winner. Return of any Prize or winner notification as undeliverable, inability to reach a Potential Winner or failure of a Potential Winner to respond to notification within three (3) calendar days of second attempt by Promotion Administrator or its agent, failure to provide proof of eligibility (if requested), Release documents, Tax Documentation or other required documentation in a timely manner, or other non-compliance with these Official Sweepstakes Rules may result in disqualification, forfeiture of the Prize and, at Promotion Administrator’s sole discretion, selection of an alternate eligible entrant for the forfeited Prize at random from all remaining eligible Entries received, who will be subject to disqualification in the same manner.
By accepting a prize, the winner understands and agrees that he/she may be videotaped, recorded and/or photographed as part of a prize award ceremony. Rights to any prize ceremony video, audio and/or photo belong solely to the Sponsor and can be used in any media throughout the world in perpetuity and in any manner at Sponsor’s sole discretion, without further review, notice, approval, consideration, or compensation to the winner or any third party.
Sponsor reserves the right to cancel or modify the Promotion if for any reason, the Promotion is undermined by any event beyond the Sponsor’s control, including but not limited to fire, flood, epidemic/pandemic, labor dispute or strike, act of God or public enemy, or any force majeure event or if fraud, misconduct or technical failures destroy the integrity of the program; or if a computer virus, bug, or other technical problem corrupts the administration or security of the program as determined by Sponsor/it’s agencies, in their sole discretion. In the event of termination, a notice will be posted online and a drawing to award the Grand Prize will be conducted from among all eligible entries received prior to termination. The failure of the Released Parties to comply with any provision of these Official Rules due to an act of God, epidemic/pandemic, act of public enemies or any act outside of the Sponsor’s control/force majeure event, will not be considered a breach of these Official Rules.
In the event a dispute arises regarding the identity of the entrant, entry will be deemed made by the person whose name appears on the online order form or mail-in entry. Any damage made to the Website by an entrant will be the responsibility of the entrant and/or the authorized e-mail account holder of the e-mail address submitted at the time of entry. Proof of submitting entries will not be deemed to be proof of receipt by Sponsor. Any entries which are suspected of being fraudulent (including those using robotic, automatic, programmed or similar methods of participation) will be disqualified, based on determinations made solely by Sponsor. Sponsor reserves the right to prohibit the participation of an individual if fraud or tampering is suspected or if the individual fails to comply with any requirement of participation as stated herein or with any provision in these Official Rules.

If the disagreement stated in the Demand is not resolved to Entrant’s satisfaction within 10 business days after it is received, and Entrant intends on taking legal action, Entrant agrees that it will file a demand for arbitration with the American Arbitration Association (the “Arbitrator”). The Promotion Entities also agree that we will submit any and all disputes with Entrant to arbitration before the Arbitrator. This arbitration provision limits the ability of Entrant and the Promotional Entities to litigate claims in court and Entrant and Promotional Entities each agree to waive their respective rights to a jury trial.
For any such filing of a demand for arbitration, Entrant must provide proper service under the rules of the Arbitrator and notice to the Notice Address may not be sufficient. If, for any reason, the American Arbitration Association is unable to conduct the arbitration, Entrant may file its case with any national arbitration company. The Arbitrator shall apply the AAA Consumer Arbitration Rules effective September 1, 2014, available at https://www.adr.org/sites/default/files/Consumer-Rules-Web_0.pdf (and as may be amended) and as modified by the agreement to arbitrate in this Dispute Resolution Section. Entrant agrees that the Arbitrator will have sole and exclusive jurisdiction over any and all disputes arising out of or relating to the Promotion or any disputes with the Promotion Entities including, but not limited to, disputes as to the interpretation or application of this Dispute Resolution Section or the validity of the arbitration agreement herein. The Arbitrator has authority to issue any and all remedies authorized by law, except that any requests for the remedy of public injunctive relief shall be brought in a court of competent jurisdiction. The Federal Arbitration Act allows for the enforcement of arbitration agreements and governs the interpretation and enforcement of the agreement to arbitrate. The place of arbitration shall be Mims, California.
Entrant agrees that it will not file a class action or collective action against the Promotion Entities, and that Entrant will not participate in a class action or collective action against them. Entrant agrees that it will not join its claims to those of any other person.
Notwithstanding any other provision in the Official Rules, or the Privacy Policies, if this class action waiver is adjudicated to be invalid by a court of competent jurisdiction, then the agreement to arbitrate is null and void, as though it were never entered into, and any arbitration dispute at that time will be dismissed without prejudice and may be refiled in court. Entrants irrevocably consent to the sole and exclusive jurisdiction of the state or federal courts of the State of [insert Sponsor’s State] located in the county of Brevard, California for any action, suit or proceeding arising out of or relating to this Promotion. Under no circumstances does Entrant or the Promotion Entities agree to class or collective procedures in arbitration or the joinder of claims in arbitration.
The provisions of this Dispute Resolution Section shall survive conclusion, modification or termination of the Promotion and suspension, revocation, closure, modification, or amendments to the Official Rules, and any aspect of the relationship of Entrant or the Promotion Entities relating to or arising from participation in the Promotion.
